Dentons is inviting directors and board members to a breakfast session exploring the practical implications of shareholder activism and what it can mean for those leading affected companies.

Directors’ Liability in an Age of Shareholder Activism

There has been much publicity surrounding recent high-profile shareholder activism. But what do these campaigns mean for the directors of the companies targeted?

This session will look at the question of directors’ liability in an activist world, covering topics such as the dos and don’ts for directors when facing an activist campaign, the governance arrangements that can help directors manage their individual risk, the role of D&O insurance, and what directors will want to have in mind when facing a requisition and potential removal from the board.

Speakers from Dentons’ Investment Funds, Regulatory and Litigation teams will be joined by an insurance broker and PR agency to discuss the practical steps directors can take to ensure they are well prepared to address the challenges of an activist campaign.
